You acknowledge that none of the staff of Ozdocs shall be (1) held liable for any decisions or actions you may take and (2) You indemnify Ozdocs employees, officers, managers, memebers, or directors; against any future actions, losses, expenses, and legal costs, incurred by you, or any outside party you may provide information to.

SelfWealth Keeper Licence Agreement

END USER LICENSE AGREEMENT FOR SELFWEALTH KEEPER SOFTWARE BETWEEN OZDOCS PTY LTD AND THE LICENSEE

This is a legal Agreement ("Agreement") between you (either an individual or an entity) ("Licensee") and Ozdocs International Pty Ltd ("Ozdocs"), ABN 89 095 021 622, regarding your use of Ozdocs' SelfWealth Keeper Software (Software), including all components comprising of the User Manual and related materials (Collectively referred to in this Agreement as the "Licensed Package"). This Agreement will remain in effect until it is terminated in accordance with section 15 below. Carefully read this Agreement before installing the Licensed Package on your computer. By installing the Licensed Package. Licensee indicates its understanding and acceptance of the terms of this Agreement and is entering into a binding legal contract. If Licensee does not accept the terms of this Agreement for any reason, then Licensee must return all materials comprising Licensed Package to Ozdocs Pty Ltd, postmarked by Licensee, within fifteen (15) calendar days from the date of initial receipt by Licensee or Licensed Package.

1. Non-exclusive License

Subject to the terms and conditions of this Agreement, in exchange for the fees paid to Ozdocs by Licensee, Ozdocs hereby grants to Licensee a non-exclusive, non-assignable and non-transferable limited license to use Licensed Package according to the terms and restrictions set forth in this Agreement and subject to the payment by Licensee to Ozdocs of the necessary fees as specified by Ozdocs. License must provide to Ozdocs details of the number of devices on which the software is installed or on which the Software is run from a storage device and must pay any license fees notified by Ozdocs which are to be calculated on the basis of the number of devices on which the software is installed or on which the software is run from a storage device. The method of calculation may be determined at the sole discretion of Ozdocs.

2. Australian Financial Services License (AFSL)

Ozdocs is the owner of all copyright and all other intellectual property rights of the Licensed Package. Ozdocs or the Licensed Package is not a financial planner, advisor, registered accountant or financial professional and does not hold an Australian Financial Services License (AFSL). Licensee acknowledges that none of the staff of Ozdocs shall be (1) held liable for any decisions or actions Licensee may take, and (2) Licensee indemnifies Ozdocs employees, officers, managers, members or directors; against any future actions, losses, expenses, and legal costs incurred by the Licensee, or any outside party Licensee may provide information to.

3. Terms of Use

The Software is licensed as a single product and its component parts must not be separated. Licensee shall not copy, reprint, reproduce, duplicate or modify any part of Licensed Package (electronically or otherwise) or assist any other party in doing so either during or after the term of this Agreement. Licensee agrees, during the term of this Agreement, not to create or attempt to create, by reverse engineering, reverse assembling, reverse compiling, decompiling or otherwise, source programs or materials that simulate or perform similar functions to those in icensed Package or information made available to Licensee under this Agreement. Licensee further agrees not to create derivative works based upon Licensed Package, or any part or component market category thereof, or allow or authorize others to do so. Licensee may not rent, lease, lend or provide commercial hosting services with Licensed Package. Notwithstanding the above, Licensee may make one copy of any software programs contained in License Package for purposes of backup only and may only transfer such copy to one of Licensee's hard disks. Any such copy made must include the appropriate copyright notice as contained on the copy in Licensed Package originally provided to Licensee. Licensee also agrees to uninstall the software within 14 days of the expiration of the Licensee's subscription.

4. Disclosure Obligations

Licensee shall not, at any time, lease, license, transfer, publish, disseminate or disclose Licensed Package or any part or component thereof, in whole or in part, in any form or by any means to any third party.

5. Liability for Unauthorized Use or Disclosure

Licensee acknowledges that any unauthorized use or disclosure of Licensed Package will diminish the value of the Software and will cause irreparable and continuing damage to Ozdocs for which an adequate legal remedy will not exist. Accordingly, Licensee stipulates that if it breaches any of its covenants in this Agreement, Ozdocs will be entitled to an entry by a court having jurisdiction of an order granting specific performance or injunctive relief, without requirement of a bond or proof of monetary damage or an inadequate remedy at law, in addition to all other remedies available at law or equity.

6. Title

Licensee acknowledges that all title to and ownership rights in Licensed Package and any part or component market category thereof, including, without limitation, all derivative works, customizations, enhancements, modifications, improvements, derivations or other changes thereto (herein collectively referred to as the "Licensed Package & All Derivations"), all updates (as defined below), and all underlying patent, copyright, trade secret, trademark and other intellectual property rights are owned and/or exclusively licensed by Ozdocs. Licensee shall not aquire any rights in Licensed Package & All Derivations of such Licensed Package, or any part or component market category thereof, or in any update by virtue of this Agreement. Ozdocs shall retain all title to and rights in physical materials included in Licensed Package and licensed under this Agreement.

7. Documentation

This license extends to any attached or related documentation. The documentation may not be copied, modified or used in any way not contemplated or expressly authorised by this agreement.

8. Technical Support

Ozdocs agrees to provide Licensee with reasonable telephone technical support. Technical support will only be provided for the latest version of the Software. This service is provided free of charge to the Licensee. Ozdocs agrees but is not obligated, to advise Licensee of any modifications, enhancements and updates to Licensed Package including the availability of new components (herein referred to collectively as "Updates") as they are released by Ozdocs provided that Licensee has kept Ozdocs current with updated contact information, including email address, mailing address, and daytime telephone number. Ozdocs is entitled to charge commercial rates for technical support relating to all versions of the Software and to operating systems and products other than the Software. Upon payment of prescribed fees to Ozdocs, as Ozdocs may specify from time to time for such updates. Licensee will be entitled to receive and use such updates in accordance with this Agreement. If Licensee chooses not to pay for such updates as they become available, Licensee will still be entitled to continue to use previous versions of Licensed Package that Licensee had paid for. However it is understood that such previous versions will no longer undergo any further modifications, improvements or enhancements by Ozdocs. Upon receipt of any updates, if requested by Ozdocs to do so, Licensee agrees immediately to return to Ozdocs all previous versions of Licensed packages then in its possession.

9. Updates and Upgrades To The Software

Updates and upgrades to the Software may be prepared by Ozdocs and delivered via Email or made available on the Internet for downloading by the Licensee. The terms and conditions also apply to any updates and upgrades to the Software provided to the Licensee by Ozdocs.

10. Evaluation Installation

When installing the software in the 30-day evaluation mode the Licensee does not have a full license until Licensee has paid the full fee and received the proof of purchase. On expiry of the 30-day evaluation period the Licensee accepts the Software will no longer be functional. The Licensee may not reset the evaluation period.

11. Disclaimer of Warranties

OZDOCS SOLE AND EXCLUSIVE WARRANTY IS THAT THE CD-ROM DISK FURNISHED TO LICENSEE IS FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP UNDER NORMAL USE FOR A PERIOD OF SIXTY (60) DAYS FROM THE DATE OF INITIAL RECEIPT BY LICENSEE. If, under normal use, the CD-ROM disk(s) has such a defect within the first sixty (60) days from the day of initial receipt, Licensee is entitled to replacement of the defective disk(s) in accordance with Section 8 of this Agreement LICENSEE ACKNOWLEDGES THAT OZDOCS MAKES NO REPRESENTATIONS CONCERNING THE SUITABILITY OF LICENSED PACKAGE FOR USE BY LICENSEE AND THAT LICENSE SHOULD DETERMINE FOR HIMSELF OR ITSELF WHETHER, AND TO WHAT EXTENT, THE USE OF LICENSED PACKAGE IS SUITABLE FOR LICENSEE. LICENSEE FURTHER ACKNOWLEDGES AND UNDERSTANDS THAT OZDOS MAKES NO CLAIMS, GUARANTEES, PROMISES OR WARRANTIES TO LICENSEE, EITHER EXPRESS OR IMPLIED, OF ANY NATURE WITH RESPECT TO LICENSED PACKAGE OR ANY PART THEREOF; OR TO THE USE THEREOF OR AS TO THE RESULTS OR OUTPUT OF THE USE OF LICENSED PACKAGE; OR AS TO ANY CONDITION, QUALITY, PERFORMANCE, CORRECTNESS, ACCURACY, PROFITABILITY, PREDICTIVNESS, TIMLINESS OR RELIABILITY THEREOF; OR AS TO THE MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE OF LICENSED PACKAGE WITH RESPECT TO ANY PROPOSED USE BY LICENSEE. OZDOCS DOES NOT WARRANT THAT THE SOFTWARE OR ANY UPDATE TO IT IS FREE FROM VIRUSES, WORMS OR TROJANS, AND LICENSEE IDEMNIFIES OZDOCS AGAINST ANY LOSS OR DAMAGE ARISING FROM OR CONSEQUENTIAL TO ANY SUCH VIRUS, WORM OR TROJAN.

12. Damages

OZDOCS WILL NOT BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF A BREACH OF THIS LICENSE OR ARISING OUT OF THE SUPPLY OF DEFECTIVE SOFTWARE. NEITHER OZDOCS NOR ITS EMPLOYEES, OFFICERS, MANAGERS, MEMBERS OR DIRECTORS SHALL BE LIABLE FOR ANY DAMAGES OR CLAIMS, INCLUDING, BUT NOT LIMITED TO, SPECIAL, DIRECT, INCIDENTAL, LOST PROFITS, DIMINUTION IN VALUE, PROPERTY, CONSEQUENTIAL OR OTHER DAMAGES FOR ANY TYPE OF DAMAGE, INJURY OR LOSS, HOWEVER CAUSED, OR UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PATENT INFRINGEMENT
